NIHB Resolution 18-02 – Creating the Title of Chief Executive Officer

WHEREAS, the Board of Directors of the National Indian Health Board (NIHB), as stated in the organization’s governing documents “shall employ an Executive Director who shall be responsible for the day to day activities of NIHB. He/she shall be directly responsible to the Chairperson of the NIHB and the Representatives thereof. He/she shall be delegated any authority as may be deemed necessary to carry on the duties and responsibilities in accordance with NIHB policies”; and

WHEREAS, this position’s title helps to communicate its authority and responsibility within the organization and with its external partners; and

WHEREAS, there is value in ensuring that external partners understand that this position operates as an officer of the organization and has the ability to bind the organization and authorize action, on behalf of the Board of Directors, to advance the mission of the organization; and

WHEREAS, trends in the non-profit field are shifting to reflect the value of having a designated titled officer within the organization as a paid employee; and

NOW, THEREFORE BE IT RESOLVED, that the Board of Directors of the National Indian Health Board officially changes the title of the Executive Director of the organization to Chief Executive Officer, and;
